Marc’s meticulous, collaborative, and forward-thinking approach allows him to deliver clear, practical guidance informed by his experienced understanding of business realities and risk management.
Marc’s extensive experience includes, but is not limited to, the following:
- acting for both buyers and sellers in the purchase and sale of businesses via both asset and share transactions, including the completion of due diligence. Since being called to the Bar, Marc has amassed a diverse client base, ranging from small businesses to national conglomerates, across a wide range of industries, including agriculture, manufacturing, fuel and other retail distribution, logistics, information technology, dentistry, pharmacy, and medical professional organizations;
- acting for both buyers and sellers in residential and commercial real estate transactions, including the conveyancing of real property, residential and commercial financings, and the drafting and reviewing of commercial leases;
- negotiating and drafting of general commercial contracts, including licensing agreements, equipment leases, retail distribution agreements, fuel supply agreements, loan agreements, and security documents;
- estate planning including the preparation of wills and powers of attorney, as well as the establishment of family trusts; and
- the incorporation of for profit and non-profit corporations, as well as working with clients to obtain charitable status from the Canada Revenue Agency.
Marc developed a deep understanding of complex business operations through his experience on the management team at a national financial institution prior to attending law school. Since being called to the Bar in 2019, he leverages his dual business and legal expertise to meet his clients’ needs.
Some notable M&A transactions that Marc has completed are as follows:
-> Acted for a national fuel distributor in its acquisition of a large network of retail gas stations across Canada, and the syndicated financing related thereto;
-> Acted for the vendor in the sale of a network of pharmacies in the Greater Toronto Area;
-> Acted for the vendor in the sale of an air filtration manufacturing and distribution business;
-> Acted for the purchaser in the acquisition of a full service heavy industrial contracting business;
-> Acted for the vendor in the sale of its ERP Software for architectural opening distribution business; and,
-> Acted for the vendor in the sale of its rotary vane vacuum pumps, rotary lobe blowers, and liquid ring pumps manufacturing business.
